In the area of corporate representation, we can provide legal
services with respect to appropriate business structure and organization; asset
deployment; board, shareholder, partner and member relations; and coordination
of relations with other outside professionals (e.g., accountants, investment
advisors and benefit consultants). We will also provide counsel and advice
on governance and regulatory matters affecting business and non-profit entities.
For example, we have represented the audit committee of a publicly traded company
in connection with its investigation of a whistleblower's disclosures; we counsel
the recently-established American subsidiary of a German manufacturer of light-rail
switching equipment; we advise a construction contractor concerning the terms
of its sub-contracts; we represented a minority shareholder in connection with
his demand under Section 220 of the General Corporate Law of Delaware to inspect
the books and records of a corporation with respect to certain financing agreements;
we have advised a limited partner concerning voting, dissolution and other
rights under the limited partnership agreement; and we have advised a hedge
fund in drafting and establishing document retention and insider trading policies.
